Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Okashare ("Okashare," "we," "us," or "our") that governs your access to and use of oka-share.com and the Okashare service (the "Service"). Please read them carefully.

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Okashare is a browser-based video editing platform for short-form content creators. The Service allows you to edit videos, connect your accounts on third-party platforms (such as TikTok), publish content to those platforms, and view performance analytics for the content you publish through Okashare.

We may add, change, or remove features from the Service at any time. We may also stop offering the Service or any feature at our discretion. We will give reasonable notice of material changes when we can.

2. Eligibility and accounts

  • You must be at least 13 years old (or the minimum age required in your country to enter into a binding contract) to use the Service.
  • If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms.
  • You are responsible for the accuracy of the information you provide when registering and for keeping it current.
  • You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Contact us promptly at support@oka-share.com if you suspect unauthorized use.

3. Connected platforms

The Service allows you to connect third-party platforms such as TikTok to publish content and retrieve analytics.

  • You authorize Okashare to access those platforms on your behalf only for the purposes you direct (such as publishing content you create and retrieving analytics for posts you publish through Okashare).
  • Your use of any connected platform is also governed by that platform's terms and policies. You are responsible for complying with them.
  • You may disconnect any platform at any time from your account settings. Disconnection revokes Okashare's access and deletes the stored credentials for that connection.
  • Okashare is not affiliated with, endorsed by, or sponsored by TikTok or any other third-party platform.

4. Your content

"Your Content" means any video, audio, image, text, or other material you upload to, create with, or publish through the Service.

  • Ownership. You retain ownership of Your Content.
  • License to us. You grant Okashare a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, modify (for technical purposes such as encoding and formatting), and otherwise use Your Content solely to provide the Service to you. This license ends when you delete Your Content or close your account, except as needed for routine backups and as required by law.
  • License to connected platforms. When you publish Your Content to a connected platform, you authorize Okashare to transmit it to that platform on your behalf. Once transmitted, your relationship with that platform regarding Your Content is governed by their terms.
  • Responsibility. You represent and warrant that you own Your Content or have all necessary rights, licenses, and permissions to use it and to publish it to the platforms you select. You are solely responsible for Your Content and the consequences of publishing it.

5. Acceptable use

You agree not to use the Service to:

  • Upload, create, or publish content that is unlawful, infringing, defamatory, obscene, sexually explicit, harassing, threatening, hateful, or that promotes violence or self-harm.
  • Infringe any patent, trademark, trade secret, copyright, right of publicity, or other intellectual-property or proprietary right.
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
  • Violate the terms of any connected platform, including TikTok's Community Guidelines and Developer Terms.
  • Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service, its infrastructure, or other users' accounts.
  • Reverse-engineer, decompile, or attempt to extract source code from any part of the Service, except where applicable law expressly permits it.
  • Use the Service to develop a competing product or service.
  • Use the Service to send spam, conduct mass automated activity, or otherwise abuse third-party platforms.
  • Use the Service in any way that violates applicable law.

We may suspend or terminate accounts that violate these rules, and we may remove content that violates them.

6. Fees and billing

The Service may be offered in free and paid tiers.

  • Free tier. Free features may be subject to usage limits or other restrictions that we may change over time.
  • Paid plans. If you subscribe to a paid plan, you agree to pay the fees described at the time of purchase. Fees are billed in advance on a recurring basis unless otherwise stated. You authorize us (and our payment processor) to charge your selected payment method.
  • Taxes. Fees do not include taxes, which you are responsible for paying.
  • Refunds. Except where required by law, fees are non-refundable.
  • Changes. We may change pricing on notice. Changes take effect at your next renewal.

7. Intellectual property

The Service, including all software, design, text, graphics, logos, and other materials we provide (other than Your Content), is owned by Okashare or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. We reserve all other rights.

"Okashare" and the Okashare logo are trademarks of Okashare. You may not use them without our prior written permission, except to refer accurately to the Service.

8. Feedback

If you give us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose, without obligation to you.

9. Termination

You may stop using the Service and delete your account at any time from your account settings or by contacting support@oka-share.com.

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Service.

When your account is terminated, your right to use the Service ends. Sections of these Terms that by their nature should survive termination will survive (including ownership, disclaimers, limitations of liability, and dispute resolution).

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANALYTICS RETRIEVED FROM CONNECTED PLATFORMS. ANALYTICS ARE PROVIDED BY THIRD-PARTY PLATFORMS AND MAY BE DELAYED, ESTIMATED, OR REVISED.

WE DO NOT WARRANT THAT PUBLISHING WILL ALWAYS SUCCEED. CONNECTED PLATFORMS MAY REJECT, DELAY, OR REMOVE CONTENT FOR REASONS OUTSIDE OUR CONTROL.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKASHARE AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Okashare and its officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any rights of another party or applicable law.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice (such as an in-app banner or email). Your continued use of the Service after changes take effect means you accept the revised Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Service will be the state and federal courts located in Delaware, and you and Okashare consent to personal jurisdiction in those courts.

Nothing in this section limits your statutory rights as a consumer where applicable law requires otherwise.

15. Miscellaneous

  • Entire agreement. These Terms, together with our Privacy Policy and any policies we link to, form the entire agreement between you and us regarding the Service.
  • No waiver. Our failure to enforce any provision is not a waiver of that provision.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Notices. We may send notices by email, in-product message, or by posting on the Service.
